10. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. Any legal suit, action, or proceeding arising out of or related to these Terms or the Site shall be instituted exclusively in the state courts of New York located in Rockland County or in the United States District Court for the Southern District of New York. By using this Site, you waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
11. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or if such modification is not possible, it shall be severed from these Terms. The remaining provisions of these Terms shall remain in full force and effect.

These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Firm with respect to your use of the Site and supersede all prior or contemporaneous understandings and agreements, whether written or oral.
